3.1 Eligibility Requirements

To use our Service, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Not have had your account previously terminated by us for violations of these Terms

3.2 Account Registration

When creating an account, you agree to:

• Provide accurate, current, and complete information as prompted
• Maintain and promptly update your account information to keep it accurate and current
• Create a strong, unique password and maintain its confidentiality
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account or any other security breach

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We strongly recommend enabling two-factor authentication (2FA) when available. You agree to immediately notify us at [email protected] if you believe your account has been compromised.

4. Service Description

TradeLogist is a comprehensive trading journal and analytics platform designed to help traders track, analyze, and improve their trading performance. Our Service includes:

5.1 Subscription Plans

TradeLogist offers both free and paid subscription plans. The features available to you depend on your selected plan. Current plans and pricing are available on our Pricing page.

5.2 Billing Terms

• Billing Cycle: Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan.
• Payment Methods: We accept major credit cards and other payment methods as indicated during checkout. All payments are processed securely through Stripe.
• Currency: All fees are charged in US dollars unless otherwise specified.
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Failed Payments: If payment fails, we may suspend your access to premium features until payment is received. We will attempt to process the payment and notify you of any issues.

5.3 Price Changes

We reserve the right to modify our pricing at any time. Any price changes will be communicated at least 30 days before they take effect. Price changes will apply at your next renewal date. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.

5.4 Taxes

Prices displayed do not include applicable taxes. You are responsible for any taxes, duties, or fees imposed by your jurisdiction. We will collect and remit taxes where required by law.

7.1 Money-Back Guarantee

We offer a 30-day money-back guarantee for new paid subscriptions. If you are not satisfied with our Service within the first 30 days of your initial subscription, you may request a full refund by contacting us at [email protected].

7.2 Refund Conditions

• The 30-day guarantee applies only to your first subscription payment.
• Refunds for renewal payments are evaluated on a case-by-case basis.
• Annual subscriptions cancelled after the 30-day period are not eligible for prorated refunds.
• Refunds are processed within 5-10 business days to your original payment method.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use any automated means (bots, scrapers, crawlers) to access the Service without permission
• Reverse engineer, decompile, or disassemble any portion of the Service
• Upload malicious code, viruses, or any destructive content
• Impersonate any person or entity, or falsely state your affiliation
• Collect or harvest any information from the Service or other users
• Use the Service to send spam, phishing, or unsolicited communications

8.2 Account Restrictions

• Maintain only one active account per individual
• Do not share your account credentials with others
• Do not transfer or sell your account to another party
• Do not use the Service to compete with TradeLogist

8.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

9. Intellectual Property

9.1 Our Intellectual Property

The Service and all of its contents, features, and functionality (including but not limited to software, code, text, graphics, logos, icons, images, audio, video, and the design, selection, and arrangement thereof) are owned by TradeLogist, its licensors, or other providers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include any right to:

• Modify, copy, distribute, or create derivative works based on the Service
• Sublicense, sell, resell, or commercially exploit the Service
• Use the Service to build a competing product or service
• Use any data mining, robots, or similar data gathering methods
• Remove any copyright, trademark, or other proprietary notices

9.3 Trademarks

"TradeLogist," our logo, and any other trademarks, service marks, and trade names displayed on the Service are our proprietary marks. You may not use these marks without our prior written permission.

10. User Content & Data

10.1 Your Content

You retain ownership of all content and data you submit to the Service ("User Content"), including your Trading Data, notes, strategies, and other materials. By submitting User Content, you grant us a limited license to:

• Store, process, and display your User Content to provide the Service
• Create backups and maintain security of your data
• Generate anonymized, aggregated analytics that do not identify you personally

10.2 Your Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the right to use all User Content you submit
• Your User Content does not violate any third-party rights
• Your User Content is accurate and not misleading
• Your User Content complies with these Terms and applicable laws

10.3 Data Export

You may export your Trading Data at any time through the Service. We provide data export functionality in common formats (CSV, JSON) to ensure you can access and transfer your data.

10.4 Data Retention

We retain your User Content for as long as your account is active. Upon account deletion, we will delete your User Content in accordance with our Privacy Policy, subject to any legal retention requirements.

11. Third-Party Services

11.1 Integrations

The Service may integrate with or allow connections to third-party services, including:

• Broker Integrations: To import trades from supported brokers
• Authentication Providers: Google, Discord, or other OAuth providers
• Payment Processors: Stripe for payment processing
• Analytics Services: For service improvement and usage analysis

11.2 Third-Party Terms

Your use of any third-party service is governed by that service's terms and privacy policy. We are not responsible for the practices or content of third-party services. By using third-party integrations, you acknowledge that:

• We do not control third-party services and are not liable for their actions
• Data shared with third parties is subject to their privacy policies
• Third-party services may change or discontinue features without notice
• You should review the terms and privacy policies of any third-party service

11.3 Links to Third-Party Sites

The Service may contain links to third-party websites. We do not endorse or assume responsibility for any third-party sites, their content, or their privacy practices.

12.1 Trading Risk Disclaimer

Trading involves substantial risk of loss and is not suitable for all investors. You acknowledge and agree that:

• Past performance data tracked in our platform does not guarantee future results
• You may lose some or all of your invested capital
• You should only trade with money you can afford to lose
• We are not responsible for any trading decisions you make or any resulting losses
• Analytics and insights are based on data you provide and may not reflect actual market conditions

12.2 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties of non-infringement or title
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any information

12.3 Data Accuracy

While we strive to provide accurate calculations and analytics, we do not guarantee the accuracy of any data processing, P&L calculations, or performance metrics. You are responsible for verifying the accuracy of your Trading Data and any calculations derived from it.

13. Limitation of Liability

You agree to defend, indemnify, and hold harmless TradeLogist and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use or misuse of the Service
• Your violation of any third-party rights
• Your violation of any applicable laws, rules, or regulations
• Any trading decisions or activities you undertake

15. Termination

15.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in your account settings
• Contacting us at [email protected]

15.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, including if we reasonably believe that:

• You have violated these Terms or our Acceptable Use Policy
• Your use poses a security risk to the Service or other users
• Your use may subject us to liability
• Your account has been inactive for an extended period
• We are required to do so by law

15.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• You may request export of your data before termination (see Section 10.3)
• We may delete your User Content in accordance with our Privacy Policy
• Provisions that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification

16.1 Informal Resolution

Before filing a formal dispute, you agree to try to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 60 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

• Arbitration shall be conducted by a single arbitrator
• The arbitration may be conducted remotely or in San Francisco, California
• The arbitrator's decision shall be binding and final
• Judgment on the award may be entered in any court of competent jurisdiction

16.3 Class Action Waiver

YOU AND TRADELOGIST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• Notice: We will notify you of material changes via email and/or prominent notice on the Service at least 30 days before they take effect.
• Non-Material Changes: Minor changes may be made at any time without prior notice.
• Your Options: If you do not agree to the revised Terms, you must stop using the Service and may cancel your subscription.
• Acceptance: Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. The "Last Updated" date at the top of this page indicates when these Terms were last revised.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and TradeLogist concerning the Service.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by TradeLogist.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

19.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, government actions, or failures of third-party services.

19.6 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and TradeLogist.
